These terms and conditions outline the rules and regulations for the use of Vositone Technologies Website, located at https://vositone.com/

Introduction

Vositone Technologies ("we," "our," or "us") provides this website and related online services to users ("you" or "user"). These Terms of Service ("Terms") govern your access to and use of vositone.com (the "Website") and any services offered through the Website. By accessing or using the Website, you agree to be bound by these Terms and our Privacy Policy, as well as any additional terms referenced or provided in connection with specific features or services. If you do not agree to these Terms, you may not use the Website.

User Rights and Obligations

Your Rights: You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Website in accordance with these Terms. This includes the right to use any interactive features, download content (where permitted), and receive customer support for the services. You also have the right to privacy and data protection as described in our Privacy Policy – for example, you may request access to, correction of, or deletion of your personal data in certain circumstances. If you are a California resident, you have specific rights under the CCPA (such as the right to opt-out of the sale of your personal information) which we honor. We do not sell your personal data to third parties for marketing purposes, and you will never be targeted with advertising based on sensitive health data without your explicit consent. You also have the right to withdraw any consent you previously gave for data processing, and you may terminate your account (if applicable) at any time, subject to any contractual commitments.

Your Obligations: You must use the Website only for lawful and authorized purposes. You agree not to use the Website in any way that violates any applicable laws or regulations or these Terms. Specifically, you must:

• Comply with Laws: Use the Website in compliance with all local, national, and international laws and regulations. This includes, without limitation, laws regarding data privacy, export control, consumer protection, and intellectual property. For instance, if you use the Website from the European Union, you acknowledge that your personal data is subject to the GDPR, and by using the Website you consent to the collection and processing of your data as described in our Privacy Policy.
• Provide Accurate Information: If you create an account or submit information through the Website, you must provide true, accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials (such as your password) and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
• Respect Intellectual Property: You must not copy, reproduce, distribute, modify, display, perform, or create derivative works from any content or materials on the Website without our prior written permission. The Website's content, including text, graphics, logos, images, software, and other materials, is protected by copyright, trademark, and other intellectual property laws. You acknowledge that Vositone and its licensors retain all ownership rights in the Website and its content. You also agree not to remove or alter any copyright, trademark, or other proprietary notices from the Website or its content.
• Not Engage in Prohibited Activities: You agree not to:
  • Use the Website in any manner that could interfere with, disrupt, damage, or impair the Website or the servers and networks connected to the Website, or otherwise impose an unreasonable or disproportionately large load on our infrastructure.
  • Attempt to gain unauthorized access to the Website, accounts, computer systems, or networks connected to the Website, through hacking, password mining, or any other means.
  • Use any automated program, spider, bot, scraper, or other automated means to access or collect data from the Website without our express written permission.
  • Transmit any viruses, worms, Trojans, or other harmful or destructive code through the Website.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, including Vositone or its employees or representatives.
  • Engage in any form of harassment, abuse, defamation, slander, libel, or otherwise objectionable conduct in your use of the Website (including, for example, in any comment sections, forums, or chat features).
  • Use the Website for any commercial purposes not expressly permitted by us (such as advertising or selling products or services to other users without authorization).

If you violate any of these obligations, we reserve the right to take action, including without limitation: removing or disabling access to any content or information you have posted, suspending or terminating your account, and/or pursuing any other legal remedies available to us.

Privacy Policy and Data Handling

Your privacy is important to us. We have updated our privacy practices to ensure compliance with the latest data protection laws and to enhance the protection of your personal information. The following key principles and updates apply:

• Lawful Basis for Processing: We will only collect and use your personal data in ways that are permitted by law. For users in the European Union, we will have a valid legal basis under the GDPR for processing your personal data – for example, we may rely on your consent (which you may withdraw at any time) or on the necessity to perform our contract with you, or on our legitimate interests (where those interests do not override your privacy rights). We will obtain your explicit consent before processing any special categories of personal data (such as health or biometric data) as required by law. This means that features of our Website or services that involve health tracking or other sensitive data will require your affirmative consent before we collect and use that data.
• Transparency and Notice: We strive to be transparent about how we collect, use, and share your data. Our Privacy Policy is provided in clear and simple language, and it details the types of personal data we collect (such as account information, device and usage data, health and activity data, location data, etc.), how we collect it, and the purposes for which we use it. We will provide you with specific information about data collection when you use certain features – for instance, if our wearable device or app collects detailed sleep metrics or environmental data, we will inform you of this and how it will be used. We do not intentionally collect personal information from children under the age of 13 (or under 16 in the EU) without parental consent, and our services are not directed at young children.
• Data Use and Personalization: We use your personal data to provide and improve our services, to communicate with you, and to personalize your experience. For example, we may use your health and activity data to generate insights and recommendations (like sleep quality reports or fitness tips) and to sync your data across devices. We may also use aggregated or anonymized data to analyze trends and improve our products. However, we will never use sensitive health data to target advertising to you without your explicit consent, and we do not sell your personal data to third parties for marketing purposes. If you have opted in to receive marketing communications, you can unsubscribe at any time.
• Data Sharing: We do not sell or rent your personal information to third parties. We may share your data only in limited, specific circumstances as described in our Privacy Policy. For example, we may share data with trusted service providers who help us operate our business (such as cloud hosting providers, customer support services, or shipping companies). In such cases, we require those third parties to protect your data and use it only for the purposes we specify. We may also share data if required by law or to protect our rights or safety. We will never share your personal data for unrelated marketing purposes without your consent.
• Security Measures: We maintain appropriate technical and organizational measures to protect your personal data from unauthorized access, disclosure, alteration, or destruction. We use encryption for data transmission between our devices/apps and our servers, and we regularly review our security practices. While no method of electronic storage or transmission is 100% secure, we take reasonable steps to safeguard your information. We also offer account security features (such as two-factor authentication) to help protect your account.
• Your Data Rights: You have certain rights regarding your personal data under applicable law. You can request to access the personal data we hold about you, and to obtain information about how it is processed. You may also request correction of inaccurate personal data or deletion of your data in appropriate cases (for example, if we no longer have a legal basis to keep it). If you have an account with us, you can log in to view or edit certain profile information, and you may delete your account, which will remove your personal data from our active systems (subject to any legal retention requirements or backups). If you are in the EU or California, you have additional rights (such as the right to data portability or to opt-out of certain data uses) as detailed in our Privacy Policy. We will respond to all valid requests in accordance with the timeframes set by law. For more information on how to exercise these rights, please refer to our Privacy Policy or contact us.

By using the Website or our services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and sharing of your personal data as described. We encourage you to review our Privacy Policy periodically, as we may update it to reflect changes in our practices or in legal requirements. Any updates to the Privacy Policy will be effective upon posting, and we will notify you of material changes (for example, via a notice on the Website or by email) if required by law.

Service Content and Scope

Services Provided: The Website is intended to provide information about Vositone's products and services, and to offer certain online services to users. We provide a range of content and functionality, including but not limited to:

• Product Information and E-commerce: Details about Vositone's smart wearable devices, smart home products, and other consumer electronics. Where available, the Website may allow you to purchase products, request product support, or download product manuals and software updates. If you purchase products through the Website, those transactions will be subject to additional terms (such as our Sales and Refund Policy).
• Account Services: The ability to create a user account to access personalized services. With an account, you may be able to register your Vositone devices, sync data from your devices (like health or activity data) to our servers, and use companion mobile apps or web dashboards. For example, if you use a Vositone wearable device, you can sync your heart rate, sleep, and other health data to your account to view insights and trends. We independently develop core health algorithms for features like heart rate, sleep, and blood oxygen monitoring to enhance these services.
• Interactive Features: The Website may include forums, comment sections, or community features where users can interact. We aim to foster a positive and respectful community environment. Any user-generated content you post on the Website (such as comments or reviews) should comply with these Terms and our Community Guidelines (if any). By posting content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display that content in connection with operating the Website and our business.
• Customer Support and Communications: We provide customer support through the Website (for example, via contact forms or support tickets). We may also use the contact information you provide to send you service-related announcements, updates to our policies, or technical notices. We will not send you unsolicited marketing messages unless you have opted in, and you can unsubscribe from marketing communications at any time.

Scope and Limitations: We reserve the right to modify, suspend, or discontinue any aspect of the Website or services at any time, with or without notice. We may impose limits on certain features or restrict your access to parts or all of the Website without liability. Some services or content may be available only to registered users, or only in certain geographic regions. You acknowledge that the Website and its services are provided "as is," and that we do not guarantee continuous, uninterrupted, or error-free access to the Website. From time to time, we may perform maintenance or updates that temporarily affect availability.

We also reserve the right to refuse service to anyone for any reason, including if we believe a user has violated these Terms or is otherwise acting inappropriately. We may, in our sole discretion, remove or disable access to content on the Website that we determine is unlawful, offensive, or otherwise violates these Terms or our policies.

No Medical Advice: Please note that the health and wellness data and insights provided by our wearable devices and Website are for informational and general wellness purposes only. They are not intended to be a substitute for professional medical advice, diagnosis, or treatment. We are not a medical provider, and any information you obtain from our services should not be used as a replacement for consulting with a qualified healthcare professional. We disclaim any liability for decisions you make based on the data from our devices or Website. If you have specific health concerns, you should consult a physician or other healthcare provider.

Compliance with Laws and Regulations

We have updated these Terms to ensure compliance with the latest legal and regulatory requirements. Key compliance considerations include:

• International Privacy Laws: We comply with global data protection laws including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and China's Personal Information Protection Law (PIPL). These laws impose obligations on how we handle personal data, including user consent requirements, data subject rights, and notification of data breaches. Our Privacy Policy and data practices are designed to meet these obligations. For instance, under GDPR, we will only process health data with your explicit consent or another lawful basis, and we will honor your rights to access, correct, or delete your data. Under CCPA, California residents can request information about what personal data we collect, share, and sell, and can opt-out of certain data sales (though we do not sell personal data in the traditional sense). We have also implemented procedures to handle data breach notifications and other compliance matters as required by law.
• Consumer Protection and Sales Laws: If our Website involves the sale of products or services, we comply with relevant consumer protection laws. This includes providing clear pricing, refund policies, and warranty information. For example, if you purchase a device from us, we will adhere to any applicable warranty obligations and provide a return policy in line with local laws. We do not engage in unfair or deceptive trade practices and will honor any commitments made to users.
• Intellectual Property and Content Laws: We respect intellectual property rights and expect our users to do the same. Our Terms include provisions to address copyright and trademark infringement (such as a DMCA takedown process for copyrighted material, if applicable). We also comply with laws regarding trademarks – the Vositone name and logo, as well as product names, are our trademarks and may not be used without permission. If you use any third-party content on our Website (for example, linking to another site), you must ensure you have the rights to do so and that it does not violate any laws.
• Export Control: Vositone's products and services may be subject to export control laws (such as the U.S. Export Administration Regulations). We comply with these laws by not allowing access to our services or exports of our products to restricted countries or persons. By using our Website, you represent that you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
• Electronic Communications and E-Signatures: By using the Website, you consent to receiving electronic communications from us (such as emails, push notifications, or in-app messages). These communications may include important notices about your account or changes to our policies. We may also require you to agree to terms electronically (for example, by clicking "I agree" to these Terms or the Privacy Policy). You acknowledge that electronic signatures and records are valid and binding, and you waive any objections to receiving communications in electronic form.

We will continue to monitor legal developments and update our Terms and practices accordingly. If any changes in law require material changes to how we operate the Website or handle your data, we will update our policies and notify you as required.

Changes to the Terms and Service

We may revise these Terms from time to time. The date at the top of this page will indicate when these Terms were last updated. We encourage you to review the Terms periodically to stay informed of any changes. If we make changes, the revised Terms will be effective when posted on the Website (or on such later date as may be specified in the update notice). Your continued use of the Website after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to any revised Terms, you must stop using the Website.

In some cases, we may also update our Privacy Policy, Community Guidelines, or other supplemental policies. Those updates will be posted on the Website as well. Material changes to our Privacy Policy will be highlighted (for example, by a banner or notification on the Website or by email) as required by applicable law.

Termination

You are free to stop using our Website at any time. If you have an account, you may deactivate or delete your account in accordance with our account deletion procedures. However, even after you stop using the Website, these Terms will continue to apply in respect of your prior use (for example, any representations you made, or any liabilities you incurred, while using the Website).

We may, in our sole discretion, suspend or terminate your access to the Website or your account at any time, with or without cause, and with or without notice. This could happen if we believe you have violated these Terms, if we suspect fraudulent or abusive activity, or for any other reason. Upon termination, your right to use the Website will immediately cease. We may also remove or delete your account information or content at our discretion upon termination. We will not be liable to you or any third party for any termination of your access to the Website.

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Vositone regarding your use of the Website and supersede all prior or contemporaneous understandings or agreements (whether written or oral). If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
• Severability: If any part of these Terms is found to be unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. A waiver on our part of one breach will not waive any other subsequent breach.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, without restriction. Any purported assignment by you in violation of this section will be null and void.
